TAX POLICY

Our objective:

To pro-actively manage our tax affairs to maximise sustainable value for our shareholders while operating in compliance with applicable laws.

Scope

The Tax Policy applies to all subsidiaries with in the DAZN Group, including any entity controlled by DAZN Group Limited.

It applies to all taxes, including corporate income tax, VAT, sales, digital services tax, property and employment related taxes.

Ownership

The Tax Policy is approved by the DAZN Board and owned by the Group Tax Director, who is responsible for its implementation.

Tax Governance

The primary operational responsibility for taxation within the Group rests with the Group Tax team headed by the Group Tax Director and comprising of a number of tax professionals. The primary responsibility for employment taxes rests with the Human Resources team.

Board level oversight is provided by the Group Chief Financial Officer who is also the Senior Accounting Officer.

The Group Tax team is supported by the Group’s Finance and Legal teams and by the Group’s control framework including the Contract Approval Process and annual Senior Accounting Officer reviews. The Group Tax team is accountable for ensuring that tax risks within processes are appropriately identified and managed using a RACI (Responsible, Accountable, Consulted, Informed) methodology.

When the need arises, the expertise of our Group Tax team is supplemented by the use of suitably qualified external tax advisors.

Tax planning and risk management

Tax risk arises from entering into transactions that have an uncertain tax outcome. The tax treatment of transactions is considered as part of the overall commercial assessment of a business opportunity. The Group operates in a dynamic multinational environment in the digital market space. The management of the Group’s tax affairs is a complex process and as such, there will inevitably be risks which may result in the incorrect application of tax rules or calculation of tax returns.

The elimination of all tax risk is impossible and the Group’s internal governance is not prescriptive as to the level of tax risk that the Group is prepared to accept when considering a transaction. The Group identifies where these risks exist and takes action to reduce these risks taking into consideration the likelihood of occurrence and scale of impact of each tax risk.

The Group aims to manage tax risk and minimise the chances of a future unexpected tax
charge relating to historical transactions by:

  • engaging only in transactions that have genuine economic substance and in the event of conflict, commercial considerations always take precedence over the quantified tax consequences of a transaction,
  • maintaining a fully-functioning tax risk management framework which is supported by a robust set of documented controls,
  • developing its Group Tax team sufficiently and by seeking advice from appropriately qualified external professionals where the uncertainty or the value is material or where particular local expertise is required; and
  • conducting all intra-group transactions on an arm’s length basis and in accordance with the OECD guidelines, reflecting the relative risks undertaken and economic value added, by each of the parties to the transaction.

The Group will utilise tax incentives, reliefs or opportunities to obtain tax efficiencies where available and where they are aligned with our business or operational objectives while remaining compliant with all relevant laws. The tax function therefore inputs into commercial decision making processes and provides appropriate input into business proposals to ensure a clear understanding of the tax consequences of any business decisions made.

Transparency and relationship with tax authorities

The Group is committed to dealing with tax authorities in an open and honest manner and to maintain a cooperative working relationship, and is committed to paying the right amount of tax in the right place at the right time.

We aim to make accurate and timely disclosures in all returns and correspondence and to work with the tax authorities to minimise the extent of disputes, achieve early agreement on disputed issues when they arise and achieve certainty.

The Group regards this publication as complying with the duty under para 25(1), Sch 19 FA 2016.

This Tax Policy relates to the financial year ended 31 December 2022.

Umfang

Die Steuerrichtlinie gilt für alle Tochtergesellschaften innerhalb der DAZN Group, einschließlich aller Unternehmen, die von der DAZN Group Limited kontrolliert werden.

Steuer-Governance

Die Aufsicht auf Vorstandsebene wird durch den Group Chief Financial Officer gewährleistet, der auch der Senior Accounting Officer ist.

Das Group Tax Team wird von den Finanz- und Rechtsteams sowie dem Kontrollverfahren der Gruppe unterstützt. Dazu gehören auch der Vertragsgenehmigungsprozess und jährliche Überprüfungen durch den Senior Accounting Officer. Das Group Tax Team ist für die angemessene Erkennung und Handhabung von Steuerrisiken innerhalb von Prozessen verantwortlich. Hierbei kommt eine RACI-Methodik (Responsible, Accountable, Consulted, Informed) zum Einsatz.

Bei Bedarf wird die Expertise unseres Group Tax Teams durch den Einsatz von entsprechend qualifizierten externen Steuerberatern ergänzt.

Steuerplanung und Risikomanagement

Steuerrisiken ergeben sich aus dem Eintritt in Transaktionen, die einen unsicheren steuerlichen Ausgang haben. Die steuerliche Behandlung von Transaktionen wird als Teil der gesamten wirtschaftlichen Bewertung einer Geschäftsmöglichkeit betrachtet. Die Gruppe ist in einem dynamischen multinationalen Umfeld im digitalen Marktraum tätig. Die Verwaltung der Steuerangelegenheiten der Gruppe ist ein komplexer Prozess und als solcher bestehen zwangsläufig Risiken, die zu einer fehlerhaften Anwendung von Steuervorschriften oder Berechnung von Steuererklärungen führen können.

Es ist unmöglich, alle Steuerrisiken zu eliminieren. Die internen Richtlinien der Gruppe machen keine Vorgaben hinsichtlich der Höhe des Steuerrisikos, das die Gruppe bei der Prüfung einer Transaktion zu akzeptieren bereit ist. Die Gruppe identifiziert, wo diese Risiken bestehen und ergreift Maßnahmen, um sie zu reduzieren. Dabei berücksichtigt sie die Wahrscheinlichkeit ihres Auftretens und das Ausmaß ihrer Auswirkungen.

Die Gruppe ist bestrebt, Steuerrisiken zu kontrollieren und die Chancen einer zukünftigen unerwarteten Steuerbelastung in Bezug auf vergangene Transaktionen zu minimieren, indem sie:

  • sich nur an Transaktionen beteiligt, die echte wirtschaftliche Substanz haben – im Konfliktfall haben wirtschaftliche Erwägungen immer Vorrang vor den quantifizierten steuerlichen Folgen einer Transaktion;
  • ein umfassendes Rahmenwerk für das Steuerrisikomanagement, unterhält, das von einer zuverlässigen Reihe dokumentierter Kontrollen unterstützt wird;
  • das Group Tax Team ausreichend entwickelt und sich in den Fällen von angemessen qualifizierten externen Fachleuten beraten lässt, in denen es um wesentliche Unsicherheiten oder Werte geht oder besondere lokale Fachkenntnisse erforderlich sind; und
  • alle gruppeninternen Transaktionen zu marktüblichen Bedingungen und in Übereinstimmung mit den OECD-Richtlinien durchführt, die die relativen Risiken und die wirtschaftliche Wertschöpfung jeder der an der Transaktion beteiligten Parteien widerspiegeln.

Die Gruppe nutzt Steueranreize, -erleichterungen oder -möglichkeiten zur Erzielung von Steuereffizienzen, sofern sie vorhanden sind und mit unseren Geschäfts- oder Betriebszielen in Einklang stehen. Gleichzeitig halten wir uns dabei an alle relevanten Gesetze. Die Steuerfunktion fließt daher in die wirtschaftlichen Entscheidungsprozesse ein und liefert einen angemessenen Beitrag zu Geschäftsvorschlägen, um ein klares Verständnis der steuerlichen Konsequenzen aller getroffenen Geschäftsentscheidungen sicherzustellen.

Transparenz und Beziehung zu Steuerbehörden

Die Gruppe verpflichtet sich zu einem offenen und ehrlichen Umgang mit den Steuerbehörden und zur Aufrechterhaltung einer kooperativen Arbeitsbeziehung. Sie ist bestrebt, den richtigen Steuerbetrag zur richtigen Zeit am richtigen Ort zu zahlen.

Unser Ziel ist es, in allen Steuererklärungen und in unserer Korrespondenz genaue und zeitnahe Angaben zu machen und mit den Steuerbehörden zusammenzuarbeiten, um den Umfang von Streitigkeiten zu minimieren, eine frühzeitige Einigung in auftretenden Streitfragen zu erzielen und Gewissheit zu schaffen.

Die Gruppe geht davon aus, dass die Pflicht nach § 25(1), Sch 19 FA 2016 mit dieser Veröffentlichung erfüllt ist.

Diese Steuerrichtlinie ist auf Dezember 2022 datiert.

Nuestro objetivo:

Ámbito de alcance

La Política Fiscal se aplica a todas las filiales de DAZN Group, incluida cualquier entidad controlada por DAZN Group Limited.

Se aplica a todos los impuestos, incluidos los impuestos sobre sociedades, el IVA, las ventas, los impuestos sobre servicios digitales, los impuestos relacionados con la propiedad y el empleo.

Titularidad

Gobernanza fiscal

La supervisión a nivel de la Junta Directiva corre a cargo del Director Financiero del Grupo, que también es el responsable principal de la contabilidad.

El equipo fiscal del Grupo cuenta con el apoyo del equipo financiero y del equipo jurídico del Grupo y con el marco de control del Grupo, que incluye el proceso de aprobación de contratos y las revisiones anuales del director de Contabilidad. El equipo fiscal del Grupo es responsable de garantizar que los riesgos fiscales dentro de los procesos se identifiquen y gestionen adecuadamente, empleando una metodología responsable, que rinda cuentas, que consulte y que esté informada.

Cuando surge la necesidad, la experiencia de nuestro equipo fiscal del Grupo se complementa con el uso de asesores fiscales externos, cualificados y adecuados.

Planificación fiscal y gestión de riesgos

El riesgo fiscal surge de la realización de transacciones que tienen un resultado fiscal incierto. El tratamiento tributario de las transacciones se considera parte de la evaluación comercial general de una oportunidad de negocio. El Grupo opera en un entorno multinacional dinámico en el espacio del mercado digital. La gestión de los asuntos fiscales del Grupo es un proceso complejo y, por lo tanto, inevitablemente habrá riesgos que pueden resultar en una aplicación incorrecta de las normas fiscales o del cálculo de las declaraciones de impuestos.

La eliminación de todo el riesgo fiscal es imposible y la gobernanza interna del Grupo no es prescriptiva en cuanto al nivel de riesgo fiscal que el Grupo está dispuesto a aceptar al considerar una transacción. El Grupo identifica dónde existen estos riesgos y toma medidas para reducirlos teniendo en cuenta la probabilidad de ocurrencia y la escala de impacto de cada riesgo fiscal.

El Grupo tiene como objetivo gestionar el riesgo fiscal y minimizar las posibilidades de un cargo fiscal futuro inesperado relacionado con las transacciones históricas al:

  • participar solamente en transacciones con un contenido económico genuino y, en caso de conflicto, las consideraciones comerciales siempre tienen prioridad sobre las consecuencias impositivas cuantificadas de una transacción,
  • mantener un marco de gestión del riesgo fiscal que funcione plenamente y que esté respaldado por un conjunto de controles documentados sólidos,
  • desarrollar su equipo fiscal del Grupo de manera suficiente y solicitando asesoramiento a profesionales externos cualificados adecuadamente, donde la incertidumbre o el valor sean materiales o donde se requiera una experiencia local en particular; y
  • realizar todas las transacciones intragrupales en condiciones de mercado y de acuerdo con las directrices de la OCDE, reflejando los riesgos relativos asumidos y el valor económico añadido, por cada una de las partes de la transacción.

El Grupo empleará los incentivos fiscales, las desgravaciones o las oportunidades para obtener ventajas fiscales cuando estén disponibles y cuando estén alineadas con nuestros objetivos empresariales u operativos, sin dejar de cumplir con todas las leyes pertinentes. Por lo tanto, la función tributaria participa en los procesos de toma de decisiones comerciales y proporciona información adecuada sobre las propuestas de negocio para garantizar una comprensión clara de las consecuencias tributarias de cualquier decisión de negocio tomada.

Transparencia y relación con las autoridades fiscales

El Grupo se compromete a tratar con las autoridades fiscales de manera abierta y honesta y a mantener una relación de trabajo cooperativa, y se compromete a pagar la cantidad correcta de impuestos en el lugar y el momento adecuados.

Nuestro objetivo es hacer declaraciones precisas y oportunas en todas las devoluciones y la correspondencia y trabajar con las autoridades fiscales para minimizar el alcance de las disputas, lograr un acuerdo preliminar sobre las cuestiones polémicas cuando surjan y asegurar la seguridad.

El Grupo considera que esta publicación cumple con la obligación establecida en el párrafo 25(1), apartado 19 de la Ley de finanzas de 2016.

La Politica fiscale si applica anche a tutte le società controllate all’interno di DAZN Group, comprese le entità controllate da DAZN Group Limited.

Si applica a tutte le tasse e imposte, tra cui l’imposta sul reddito delle società, l’IVA, le tasse sulle vendite e sui servizi digitali, le imposte sul lavoro e patrimoniali.

Responsabilità

La Politica fiscale è approvata dal Consiglio di amministrazione di DAZN ed è responsabilità del Group Tax Director, che deve garantirne la corretta implementazione.

Governance fiscale

La principale responsabilità operativa quanto alla fiscalità del Gruppo spetta al team fiscale del Gruppo guidato dal Group Tax Director e composto da tutta una serie di esperti fiscali. La principale responsabilità quanto alle imposte sul lavoro spetta al dipartimento delle Risorse umane.

La supervisione a livello di Consiglio d’amministrazione spetta al Group Chief Financial Officer che è anche il Senior Accounting Officer.

Il team fiscale è supportato dai team finanziari e giuridici del Gruppo e dal quadro di controllo del Gruppo, che include la Procedura di approvazione dei contratti e le revisioni da parte del Senior Accounting Officer. Il team fiscale è responsabile di garantire che il rischio fiscale dei processi sia identificato adeguatamente e gestito usando la matrice di assegnazione della responsabilità RACI (Responsible, Accountable, Consulted, Informed).

Ove necessario, le competenze del nostro team fiscale sono integrate dal ricorso a consulenti fiscali esterni altamente qualificati.

La gestione delle questioni fiscali del Gruppo è un processo complesso e, in quanto tale, comporta inevitabilmente dei rischi che possono risultare in una applicazione delle norme fiscali o in calcoli sulle dichiarazioni dei redditi erronei.

Eliminare completamente il rischio fiscale è impossibile e la governance interna del Gruppo non definisce chiaramente il livello di rischio fiscale che il Gruppo è disposto ad accettare davanti a una transazione. Il Gruppo identifica dove esistono dei rischi e agisce per ridurli, prendendo in considerazione per ogni rischio fiscale la probabilità che questo insorga così come la portata del suo impatto.

Il Gruppo punta a gestire il rischio fiscale e a ridurre le possibilità che si verifichino futuri oneri fiscali imprevisti relativi a transazioni passate come segue:

  • portando avanti solo transazioni che abbiano una vera sostanza economica; in caso di conflitto, le considerazioni commerciali avranno sempre precedenza sugli effetti fiscali quantificati di una transazione,
  • implementando un quadro di gestione del rischio altamente efficace, supportato da solidi controlli documentati,
  • formando adeguatamente il team fiscale e rivolgendosi a professionisti debitamente qualificati quando l’incertezza o il valore sono materiali, o qualora competenze specifiche locali siano necessarie; e
  • eseguendo tutte le operazioni infra-gruppo in normali condizioni di mercato e in conformità con le linee guida della OECD, considerando il rischio relativo corso e il valore economico aggiunto da parte di ogni parte coinvolta nella transazione.

Il Gruppo si avvarrà di incentivi, agevolazioni fiscali e altre opportunità di ottenere un alleggerimento fiscale ove possibile e in linea con i nostri obiettivi commerciali od operativi, nel pieno rispetto di tutte le leggi applicabili. La divisione fiscale, quindi, ha un peso nei processi decisionali commerciali e fornisce informazioni opportune durante la preparazione di proposte commerciali per garantire la massima comprensione e chiarezza quanto alle conseguenze fiscali di ogni decisione commerciale.

Trasparenza e relazione con le autorità fiscali

Il Gruppo s’impegna a trattare con le autorità fiscali in modo aperto e onesto e di mantenere una relazione professionale collaborativa; s’impegna a pagare il giusto importo fiscale, nel posto giusto e nel momento giusto.

税務当局との透明性と関係

グループは、税務当局に対してオープンで誠実に対応するよう努め、協力的な作業関係を維持し、適切な時期に、適切な場所で、適切な税額を納めることを約束します。

当社は、すべての申告およびやり取りにおいて正確かつタイムリーな開示を行い、税務当局と協力して紛争の範囲を最小限に抑え、紛争が発生した際には早期合意と確実性を達成することを目指します。
